General Terms and Conditions of Candis GmbH for the domain candis.io and all associated subpages and services

  1. Preamble
    These General Terms and Conditions of Business, including the associated appendices ("GTC"), conclusively govern the contractual relations between Candis GmbH ("CANDIS") and the contractual partner ("Customer") designated in the payment portal with regard to the services of CANDIS mentioned therein. Other contractual provisions, in particular the Customer's General Terms and Conditions, do not apply.
    CANDIS exclusively offers the services described on the order page, in particular those for accounting support, to companies, tax consultants and all other natural persons or legal entities or partnerships with legal capacity, who, in accordance with § 14 of the German Civil Code (BGB), act in the exercise of their commercial or independent professional activity when concluding a legal transaction.
  2. Conclusion of contract, right of revocation
    2.1 In the case of a monthly or annual package, the contract is concluded by the Customer completing the order form (offer) on the CANDIS order page.
    2.2 In the case of an individual package, this will be prepared and sent to the Customer by CANDIS after the order form has been completed. The contract is then concluded when the Customer approves the package in writing (e-mail is sufficient) (offer) and CANDIS accepts this offer by a written confirmation (e-mail is sufficient).
  3. Zur Verfügung stellen der Dienstleistung, Nutzungsumfang und Nutzungsbeschränkungen
    3.1 Zur Verfügung stellen der Dienstleistung: CANDIS stellt dem Kunden die auf der Bestellseite benannte Software (die im Bestellschein konkret genannte Kombination von Modulen) (im Folgenden „Software“) für die Dauer der Software-Subskription via Onlinezugang zur Verfügung. CANDIS räumt dem Kunden Zug-um-Zug gegen Zahlung der Nutzungsgebühr durch den Kunden ein nicht ausschließliches, zeitlich auf die Laufzeit dieser Vereinbarung beschränktes, nicht übertragbares Recht ein, auf die Software und die dazugehörige Dokumentation (die Software und die Dokumentation gemeinsam als „Material“ bezeichnet) in Übereinstimmung mit diesen AGB und den Angaben der Dokumentation und unbeschadet der zwingenden gesetzlichen Vorschriften gemäß des auf der Bestellseite angegebenen Nutzungsumfangs mittels der von CANDIS übersandten Log-In-Daten zuzugreifen und für eigene Geschäftszwecke nach vorstehender Maßgabe zu nutzen. CANDIS verpflichtet sich, für eine ständige Erreichbarkeit der Server Sorge zu tragen.
    3.2 Nutzungsumfang und Funktionalitäten: Der Kunde ist vorbehaltlich der Regelungen dieses Vertrages (insbesondere der Angaben auf der Bestellseite) berechtigt, das Material in dem auf der Bestellseite angegebenen Umfang (Subskriptionsdauer, Module, Anzahl von Nutzern) zu eigenen Zwecken einschließlich der Beratung seiner Kunden zu nutzen. Der Kunde hat sicherzustellen, dass die Nutzung des Materials ausschließlich durch den/die Mitarbeiter oder Angestellte(n) („Nutzer“) erfolgt, die berechtigt sind die Leistungen von CANDIS gemäß Ziffer 5.1 dieser AGBs in Anspruch zu nehmen. Der Nutzungsumfang ergibt sich für die auf der Bestellseite genannte Kombination von Modulen mit den in der Dokumentation beschriebenen Funktionalitäten.
    3.3 Nutzungsbeschränkung: Der Kunde verpflichtet sich, die Software vertragsgemäß zu nutzen und weder an Dritte (andere Personen als die Nutzer gemäß Ziffer 5.1) weiterzugeben, noch sie in sonstiger Art und Weise Dritten zugänglich zu machen. Der Kunde ist nicht berechtigt, die Software zurück zu entwickeln (reverse engineering), zu dekompilieren, zu disassemblieren, zu modifizieren, zu vervielfältigen oder jeglichen Teil der Software zu benutzen, um eine separate Applikation zu erstellen. Der Kunde verpflichtet sich, (i) soweit in diesem Vertrag nicht ausdrücklich gestattet, die Software nicht in irgendeiner Art und Weise zu modifizieren, zu kopieren, zu benutzen oder daraus abgeleitete Werke zu erstellen (ii) nicht zu versuchen, technische Nutzungsbeschränkungen an der Software zu umgehen, zu deaktivieren oder zu vereiteln; (iii) die Software im Ganzen oder in Teilen nicht an Dritte (andere Personen als die Nutzer gemäß Ziffer 5.1) zu übertragen, zu verkaufen, zu vermieten, zu leasen, zu vertreiben, zu sublizenzieren, zu verleihen oder anderweitig zu übergeben; (iv) Hinweise auf Eigentumsrechte auf der Software nicht zu ändern oder zu entfernen; (v) die Software nicht zur Bereitstellung von eigenen Time-Sharing-Diensten, Software-as-a-Service Angeboten („SaaS“), Servicebürodienstleistungen oder als Teil eines Application Service Provider oder Dienstleistungsangeboten zu benutzen.
    Der Kunde ist nicht berechtigt, die Software mit anderen Computerprogrammen zu verbinden. Als Verbindung im benannten Sinne gilt nicht das Abspielen der Software auf einem Betriebssystem, welches die wesentlichen Funktionen eines Computers steuert und deren Nutzung ermöglicht. Die Software und ihre Komponenten dürfen nicht zur Verwendung auf verschiedenen Computern entbündelt werden. Insbesondere das Entbündeln oder Repackaging der Software zum Vertrieb, zur Übertragung oder zur (Weiter-)Vermietung ist nicht gestattet. Verstößt der Kunde gegen eine der vorstehenden Bestimmungen, werden sämtliche im Rahmen der Nutzungsvereinbarung erteilten Nutzungsrechte sofort unwirksam und fallen automatisch an CANDIS zurück. CANDIS ist berechtigt, den Zugang zu der Software zu sperren. In jedem Fall hat der Kunde die Nutzung der Software unverzüglich und vollständig einzustellen.
    CANDIS ist berechtigt, bei Vorliegen von Umständen, die auf eine Nutzung der Software durch andere als die berechtigten Nutzer schließen lassen, vom Kunden eine Auflistung derjenigen Personen zu verlangen, die die Software im Rahmen des eingeräumten Nutzungsrechts tatsächlich nutzen. Der Kunde ist verpflichtet, diese Auflistung unverzüglich nach Aufforderung CANDIS’ vollständig und wahrheitsgemäß zu erstellen und CANDIS zur Verfügung zu stellen. Kommt der Kunde seiner Verpflichtung zur Erstellung einer solchen Auflistung nicht ordnungsgemäß nach oder ist die Aufstellung falsch und/oder unvollständig, ist CANDIS berechtigt, das jeweils betroffene Nutzungsrecht außerordentlich zu kündigen. Weitergehende Ansprüche von CANDIS bleiben unberührt.
    3.4 Alle an dem Material bestehenden oder hiermit in Verbindung stehenden gewerblichen Schutzrechte stehen CANDIS zu. Das Eigentum des Kunden bzw. Nutzers an Datenträgern, Datenspeichern und sonstiger Hardware wird hiervon ebenso wenig berührt, wie die Rechte des Kunden bzw. Nutzers an den in der Download-Datei abgelegten und gespeicherten Rechnungsdaten. Der Kunde wird jedoch dafür Sorge tragen, dass vor der Vernichtung, dem Verkauf oder der sonstigen Weitergabe von Datenträgern, Datenspeichern oder sonstiger Hardware darin gespeichertes Material vollständig gelöscht wird. Dies gilt nicht, für die in der Download-Datei abgelegten und gespeicherten Rechnungsdaten des Kunden bzw. des Nutzers.
  4. Obligations of CANDIS
    4.1 CANDIS digitises the invoice documents in preparation for digitised accounting. A detailed description of services can be found at www.candis.io/funktionen. During digitization, transmission errors cannot be excluded despite the use of the most modern technologies.
    4.2 CANDIS accepts data sent by the Customer and User in accordance with Clause 4.1 as per contract, digitises the data required for payment and makes them available to the Customer in digitalised form as a data record within the framework of server-based software in accordance with Clause 3. A separate data record is created for each invoice document. The Customer has the option and, if applicable, the obligation (cf. Section 5.2) to supplement or change the data record directly. It is the Customer's responsibility to ensure the accuracy of the contents read out before executing a transfer, even if CANDIS has carried out a manual check of the contents read out.
    4.3 The Customer is aware that CANDIS processes the data provided only in accordance with the provisions of this contract and in no case checks the data legally or in any other way, in particular with regard to tax aspects, or modifies them in any way of its own accord. Any such verification is the sole responsibility of the Customer or third parties commissioned by the Customer.
  5. Duties and Obligations of the Customer
    5.1 The Customer shall be obliged to inform CANDIS which employees or staff members are entitled to use the services of CANDIS as Users. CANDIS shall not be obliged to receive or process data from persons other than the aforementioned. Detailed information on notification can be obtained from CANDIS Support.
    5.2 Furthermore, the customer has the following duties and obligations in particular:
    a) The customer is obliged to ensure that the input and transmission of data is carried out properly, completely and truthfully.
    b) The Customer shall be obliged to ensure that the services provided by CANDIS are not misused and that the national and international copyrights and trademark rights, patent rights, name rights and labelling rights as well as other industrial property rights and personal rights of third parties are observed.
    c) The customer is obliged to inform the users in due time before the beginning of the use about the details of this contract, in particular about the rights and obligations according to this contract. This applies in particular with regard to the obligation under section 5.2 f).
    d) The Customer shall be obliged to ensure that, if it allows data of third parties (employees, customers of the Customer, etc.) to be read out by CANDIS, such use shall not be made without the consent of such third party, insofar as this is required by law.
    e) The Customer shall be obliged to notify CANDIS without delay of any malfunctions of the server-based software provided by CANDIS. After the submission of a malfunction report, the expenses incurred by CANDIS due to the inspection of its technical equipment shall be reimbursed, if no malfunction of the technical equipment of CANDIS occurred and if the customer could have detected such malfunction by reasonable troubleshooting.
    f) Insofar as the Customer collects, processes or uses personal data within the scope of the use of the services of CANDIS and no statutory permissible circumstance intervenes, the necessary consent of the respective person concerned shall be obtained.
    g) Personal access data (password and passwords) may not be disclosed to third parties and shall be kept protected from access by third parties. For security reasons, they must be changed before the first start-up and at regular intervals thereafter. If there is reason to suspect that unauthorised persons have obtained knowledge of the access data, the Customer shall notify CANDIS thereof without delay and shall change the access data without delay. The access data may only be stored in encrypted form on PC, USB stick and CD-ROM.
    h) If CANDIS is to process sensitive data within the meaning of § 3 para. 9 Federal Data Protection Act, the Customer shall inform CANDIS thereof in writing without delay.
    i) CANDIS shall digitalise the invoice documents in preparation for digitalised accounting. A detailed service description can be found at https://www.candis.io/produktuebersicht. During the digitalisation process, transmission errors cannot be excluded despite the use of state-of-the-art technologies. The customer is therefore responsible for checking the digitised invoice documents before making a payment.
    j) The Customer declares that all actions and declarations of third parties are available which are required for the provision of CANDIS' service according to the Federal Data Protection Act and other legal regulations, in particular, but not limited to, those according to clause 5.2 (f) of these GTC.
  6. Data protection; order data agreement
    6.1 The Customer is aware that CANDIS may, with the prior consent of the respective user, make the data transmitted to it anonymous and use it in accordance with the applicable data protection laws, in particular to optimise CANDIS products. Data will only be passed on to third parties cooperating with CANDIS in accordance with clauses 6.2 and 6.3. There will be no transfer to uninvolved third parties.     www.candis.io/datenschutz 6.2 CANDIS uses external service providers to implement the service, in particular to digitalise the invoice documents and to synchronise the Customer's bank accounts and payment services in real time. Order data processing agreements have been concluded with these service providers in accordance with the provisions of the German Federal Data Protection Act.
    6.3 Insofar as CANDIS receives data from the Customer or the User, stores it, digitises it and makes it available to the Customer and the User in digitalised form as a data record within the framework of server-based software in accordance with Clause 5, this is commissioned data processing on behalf of the Customer. The obligations incumbent on the parties in this respect are specified in the Order Data Processing Agreement attached as an Annex.
  7. Contract term and termination; termination of the contract; data retention and deletion
    7.1 The contract term and the billing cycle result from the conclusion of the subscription on the CANDIS order page. The period for ordinary termination for packages with an annual base price is 2 months before the end of the billing cycle. The period for ordinary termination for packages with a monthly basic price is 4 weeks to the end of the calendar month.
    7.2 The right to terminate for good cause remains unaffected. Good cause is given to CANDIS in particular in cases where the Customer is in substantial breach of the obligations incumbent on him under Section 5 of these Terms and Conditions, or where the Customer is in default of payment of the remuneration for more than four weeks from the due date.
    7.3 From receipt of the notice of termination, the Customer shall be given the opportunity to download the contents and documents placed by him on the CANDIS platform onto his own data carrier for a period of six weeks or - should this be later - until the date of termination of the contract. The Customer gives his consent that the stored contents and documents will then be deleted by CANDIS. If the six weeks are not sufficient for the Customer to secure his data, the Customer may apply to CANDIS in writing (e-mail is sufficient) for extensions of one month each, in which case the agreed monthly fee is due. As soon as the Customer no longer wishes to retain his data, he may notify CANDIS in writing at any time after giving notice of termination (e-mail is sufficient). The Customer gives his consent that the stored contents and documents may thereafter be deleted by CANDIS.
  8. Warranty; Customer's obligation to cooperate
    8.1 In the event of the existence of defective material, the customer is entitled to demand first the removal of the defect and, if the defect has not been removed within four weeks of notification, to a reasonable reduction of the user fee for the duration of the existence of the defect.
    8.2 CANDIS gives no guarantee that the Software, despite the greatest possible care, is free from defects, errors, bugs and temporary server failures.
    8.3 The Customer is obliged to provide CANDIS with verifiable documents and information about the nature and occurrence of deviations from the performance specification of the software, and to cooperate in the containment and identification of errors and sources of error.
  9. Liability
    9.1 CANDIS shall be liable without limitation in the event of intent or gross negligence, as well as in the absence of a guaranteed characteristic, for all damages attributable to it.
    9.2 In the case of slight negligence CANDIS shall have unlimited liability in the event of injury to life, body and health. In other respects CANDIS shall be liable in cases of slight negligence only if an obligation is violated, the fulfilment of which makes the proper performance of the contract possible in the first place, the violation of which endangers the achievement of the purpose of the contract, and on the observance of which the Customer can regularly rely (cardinal obligation). In the event of a breach of a cardinal obligation, liability shall be limited to the foreseeable damage typical for the contract. This also applies to lost profits and savings that have not been achieved. Liability for other remote consequential damages caused by a defect is excluded.
    9.3 The liability according to the regulations of the Product Liability Act remains unaffected.
    9.4 Notwithstanding the provisions of this paragraph, CANDIS shall not be liable for damages incurred by the Customer as a result of the fact that the Customer has failed to comply with his duty of control under clause 5.2 i).
    9.5 CANDIS is liable for the loss of data only up to the amount that would have been incurred if the data had been properly and regularly backed up for the purpose of restoring them.
    9.6 The Customer is liable for all breaches of duty by its users and other third parties who commit breaches of duty in the sphere under the Customer's control, unless the Customer can prove that it is not responsible for the breaches of duty.
    9.7 CANDIS is to be indemnified against all claims of third parties which are based on an illegal use of the services of CANDIS by the customer, or which are made with his approval, or which arise in particular from data protection, copyright or other legal disputes connected with the use of the services of CANDIS. If the Customer realises, or must realise, that such a violation is imminent, there is a duty to inform CANDIS without delay.
    9.8 Insofar as CANDIS' liability is excluded, this also applies to the personal liability of its employees, workers, staff, representatives and vicarious agents, and to CANDIS' liability for their conduct.
  10. Industrial property rights and copyrights; defects of title
    10.1 Unless otherwise agreed, CANDIS is obliged to provide the Supplies free from industrial property rights and copyrights of third parties (hereinafter referred to as "Property Rights") only in the country of the place of delivery. If a third party asserts justified claims against the Customer on the grounds of infringement of property rights by deliveries made by the Supplier in accordance with the contract, CANDIS is liable to the Customer as follows:
    10.2 CANDIS shall, at its own discretion and at its own expense, either obtain a right of use for the Supplies concerned, modify them so that the Property Right is not infringed, or replace them, if and to the extent that the owed functionality of the software is not substantially impaired thereby. If this is not possible for CANDIS under reasonable conditions, or if CANDIS' subsequent performance fails within a reasonable period of grace set by the customer, the customer may, under the statutory conditions, withdraw from the contract or reduce the price.
    10.3 CANDIS' obligation to pay damages is governed by clause 9 of these GTC.
    10.4 The aforementioned obligations of CANDIS' shall only exist to the extent that the Customer immediately notifies CANDIS in writing of the claims asserted by the third party, does not acknowledge an infringement and reserves to CANDIS all defensive measures and settlement negotiations; in this context the Customer shall grant CANDIS all powers of attorney and authority necessary to defend the Software against the asserted rights of third parties. If the Customer ceases to use the Supplies in order to reduce the damage or for other good cause, the Customer shall be obliged to point out to the third party that the cessation of use does not imply any acknowledgement of an infringement of the Property Rights.
    10.5 Claims of the customer are excluded if he is responsible for the infringement of property rights.
    10.6 Claims of the customer are further excluded if the infringement of the property right is caused by special specifications of the customer, by an application not foreseeable by the provider or by the fact that the delivery is modified by the customer.
    10.7 CANDIS reserves its unrestricted rights of exploitation under property and copyright law in respect of cost estimates, drawings, manuals and other documents (hereinafter referred to as "Documents"). The Documents may be made accessible to third parties only with the prior consent of CANDIS and shall, if the contract is not awarded to CANDIS, be returned to it without undue delay on request.
    10.8In the event of other defects of title, the provisions of Clause 8 of these GTC (warranty for material defects) shall apply accordingly.
    10.9 Any further claims of the customer against CANDIS and its vicarious agents or claims other than those regulated in this Clause 10 on the grounds of a defect of title are excluded.
  11. Confidentiality
    11.1 The Customer is obliged to protect the Software from unauthorised access or disclosure by third parties and must ensure that no copy, publication or other form of disclosure of the material (including the Software), in whole or in part, is made unless permitted by the User Agreement. The Customer acknowledges that the material, including the software, contains valuable confidential information and trade secrets, and that their unauthorized use and/or unauthorized copies may constitute damage to CANDIS.
    11.2 The Customer undertakes vis-à-vis CANDIS to keep secret all confidential information which has become or will become known to him in advance and/or in the course of the performance of this Agreement, and in particular to avoid any access by third parties to such information. The Customer must oblige all users, employees and staff authorised by him, insofar as they are not already obliged to do so under their employment contract, to maintain secrecy to the extent defined here.
    11.3 Confidential within the meaning of this Agreement is all information that is marked as such by CANDIS, or whose confidentiality results from the circumstances.
    11.4 The obligation to maintain secrecy in accordance with the above clause 11.2 above does not apply to confidential information (i) that is already in the public domain or generally known at the time the Customer becomes aware of it, or that becomes known without any breach of this confidentiality obligation, (ii) that is provided to the Customer by a third party without any breach of a confidentiality obligation towards CANDIS, (iii) which have been developed independently of these agreements by the Customer, or (iv) if and to the extent that the Confidential Information is to be surrendered pursuant to an enforceable official or court order and the Customer has informed CANDIS immediately after becoming aware of the duty of disclosure and has given CANDIS the opportunity to take action against the disclosure.
  12. Other conditions
    12.1 German law shall apply. The place of jurisdiction for all disputes arising from or in connection with this contract is the registered office of CANDIS in Berlin.
    12.2 The Customer may transfer the rights and obligations under this contract to a third party only with the prior written consent of CANDIS.
    12.3 The Supplier remains entitled to amend these Terms and Conditions for the future. The Customer shall be notified in writing (e-mail is sufficient) of any changes made. The amendments shall become effective unless the Customer has objected to them in writing to CANDIS within four (4) weeks of receipt of the notification pursuant to sentence 2. In the written notification pursuant to sentence 2, the Provider again expressly draws the Customer's attention to the significance and legal consequences of silence. If the Customer objects to the amendments to these GTC, both the Supplier and the Customer may terminate the agreement affected by the amendment in an extraordinarily formal manner.
    12.4 General Terms and Conditions of the Customer are not part of the contract, even if they have not been expressly contradicted in detail.
